1. About These Terms

vivitory.shop (the "Site") is an online store for home fitness equipment, operated by Ningbo Reliancer Imp. & Exp. Co., Ltd. ("VIVITORY," "we," "us"). By browsing the Site or placing an order, you agree to these Terms of Service, our Shipping Policy, our Refund Policy and our Privacy Policy. If you do not agree, please do not use the Site.

2. Eligibility

You must be at least 18 years old, or the age of majority where you live, and have a delivery address in the United States, to place an order. If you are a minor, a parent or guardian must place the order and supervise the use of the products.

3. Personal, Non-Commercial Use

The Site and our products are sold for your personal, non-commercial use. You may not resell our products, or use the Site's content, for commercial purposes without our written permission. Orders that appear to be for resale, in quantities beyond normal personal use, may be limited or declined.

4. Restrictions on Use of the Site

You agree not to:

  • use the Site for any unlawful purpose or to violate any law or regulation;
  • use bots, scrapers or automated tools to collect data, place orders or monitor prices;
  • attempt to gain unauthorized access to the Site, its servers or other users' information;
  • introduce viruses, malware or code intended to disrupt the Site;
  • place orders using payment methods you are not authorized to use;
  • copy, modify or distribute Site content, including product photos and text, except as these Terms allow.

5. Product Information and Colors

We aim to show our products accurately, including dimensions, weights, materials and package contents. Screens differ, so colors in photos may vary slightly from the product. Product photos may show accessories, such as weight plates for the cable machine, that are not included. The "What's Included" list on each product page is the final statement of what is in the box.

6. Exercise Safety and Assumption of Risk

Strength training, balance training and sports practice carry a risk of injury. By using our products, you agree that:

  • you are responsible for consulting a physician before starting any exercise program;
  • you will assemble, adjust and use each product according to its manual, and check that all collars, nuts, bolts, stoppers, cables and straps are tight and in good condition before each use;
  • you will not exceed the weight limits stated for the product;
  • you will use the product on a stable, suitable surface with enough clear space around it, and supervise any use by minors;
  • you stop using a product that is damaged or worn and contact us.

To the extent permitted by law, you assume the risks of using exercise equipment in ways not described in the product instructions.

7. Orders and Acceptance

Your order is an offer to buy. We accept it when we send you a shipping confirmation. We may decline or cancel an order, in whole or in part, for reasons such as product unavailability, a pricing or listing error, suspected fraud, an address we cannot deliver to, or quantity limits. If we cancel an order after payment, we refund the full amount, including tax, to your original payment method.

8. Prices, Pricing Errors and Payment

Prices are in U.S. dollars and may change at any time without notice. The price that applies is the price shown when you place your order. If a product is listed at an incorrect price because of a clear error, we will contact you to either confirm the order at the correct price or cancel it with a full refund. Payment is charged when you place your order, through the payment methods offered at checkout.

9. Shipping, Sales Tax, Returns and Refunds

Shipping is free to addresses in the United States, and sales tax is calculated and collected at checkout. Delivery and returns are governed by our Shipping Policy and Refund Policy, which are part of these Terms. Risk of loss passes to you when the carrier delivers the order to your address.

10. Intellectual Property

The Site and its content, including text, product photos, graphics, logos, the VIVITORY name and the VIVITORY trademark (U.S. Reg. No. 6,239,819), are owned by Ningbo Reliancer Imp. & Exp. Co., Ltd. or its licensors and are protected by trademark, copyright and other laws. You may view and print Site content for your personal use only. You may not use our trademarks, logos or images without our prior written consent.

11. User Content

If you submit reviews, photos, messages or other content to us ("User Content"), you confirm that you own it or have the right to submit it, and that it is truthful. You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, display and adapt your User Content on the Site and in our marketing. User Content must not be unlawful, misleading, abusive or discriminatory, contain private information of others, infringe someone's rights, or promote another business. We may remove any User Content at our discretion.

12. Third-Party Services and Links

The Site uses third-party services such as Shopify, payment gateways and shipping carriers, and may link to third-party websites. We do not control those services or websites and are not responsible for their content, policies or practices.

13. Disclaimer of Warranties

To the fullest extent permitted by law, the Site is provided "as is" and "as available." We do not guarantee that the Site will be uninterrupted, secure or free of errors. Nothing in these Terms limits any rights you have under applicable consumer protection laws that cannot be waived.

14. Limitation of Liability

To the fullest extent permitted by law, VIVITORY and its owners, employees and service providers are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or use, arising from your use of the Site or our products. Our total liability for any claim relating to an order is limited to the amount you paid for that order. Some states do not allow certain limitations, so these limits apply only to the extent permitted in your state. Nothing in these Terms limits liability that cannot be limited by law, such as liability for personal injury caused by our negligence where the law does not allow the limit.

15. Indemnification

You agree to indemnify and hold VIVITORY harmless from claims, losses and reasonable legal costs arising from your breach of these Terms, your misuse of the Site or products, or your violation of any law or third-party right.

16. Dispute Resolution and Binding Arbitration

Informal resolution first. Before starting any formal proceeding, please email service@vivitory.shop with a description of the dispute. We will try to resolve it within 30 days.

Arbitration. If a dispute is not resolved, you and VIVITORY agree to resolve it by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, instead of in court. The arbitration can be conducted by phone, by video or in writing, or in person in the county where you live. Either party may instead bring an individual claim in small claims court.

Individual claims only. Disputes must be brought on an individual basis. Neither you nor we may bring a class, collective or representative action.

Opt-out. You may opt out of this arbitration clause within 30 days of first accepting these Terms by emailing us with the subject "Arbitration Opt-Out."

Governing law. The Federal Arbitration Act governs this section. Otherwise, these Terms are governed by the laws of the U.S. state where you live, without regard to conflict-of-law rules.

17. Force Majeure

We are not liable for delays or failures in performing our obligations caused by events beyond our reasonable control, including natural disasters, severe weather, fire, epidemics, war, terrorism, labor disputes, carrier or utility disruptions, government actions and failures of internet or payment services. Delivery dates are extended for the duration of such an event.

18. Termination and Account Suspension

We may suspend or terminate your access to the Site, or cancel your orders, if you violate these Terms, engage in fraud or abuse, or abuse our returns process. If you have a customer account, you may close it at any time by emailing us. Provisions that by their nature should survive termination will continue, including those on intellectual property, disclaimers, liability and arbitration.

19. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date shows the latest version. The Terms in effect when you place an order apply to that order, and your continued use of the Site after a change means you accept the updated Terms.

20. General

If any part of these Terms is found unenforceable, the remaining parts stay in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the policies referred to above, are the entire agreement between you and us about the Site and your orders.
